Trade Names

A “Sole Proprietorship” or “General Partnership” seeking to operate in the County of Monmouth must file a Certificate of Trade Name with the County Clerk.  Registration is mandatory and protects that name from use by other businesses within the county. If you are interested in reserving the trade name in other counties, you must register that name in those counties as well. To protect the name statewide you should register the name in each of the State’s 21 counties.

Take Note! The filing of a trade name is only effective in the county in which it is filed. It is possible that the business name exists in another county or as a corporation in the State of New Jersey.

Procedure for Filing a Trade Name in Monmouth County

It is the business owner’s responsibility to verify that the trade name chosen is not currently in use either in this County or in the State of New Jersey as a corporation.

Search the records in the Deed Room of the County Clerk’s Office at 33 Mechanic Street, Freehold, for the availability of the name you wish to file. This will require searching the Clerk’s computer database as well as the Trade Name books.

  1. Download a Certificate of Trade Name here or obtain one at the County Clerk’s Office. The Certificate must be filled out and notarized in the Clerk’s Office. Do not sign the form until you are in the County Clerk’s Recording Office.
  1. The following will be required:
  • Identification (driver’s license, passport, etc.);
  • $54.00 non-refundable fee ( cash, money order, master card, visa or discover)
  • All parties involved must be present
  1. You will receive two recorded copies of the trade name, one of which your bank may require to open a business account. The County Clerk’s Office will keep the original, and send a copy to the Secretary of State.
  1. You must also register your business with the State of New Jersey, Division of Taxation in Trenton (New Business Guide and Information provided when you bring the Trade Name form in for recording).

Procedure for Dissolution of a Trade Name in Monmouth County

Any business ceasing operation in Monmouth County must dissolve its Trade Name Certificate.

  1. Download a Trade Name Dissolution Form here, or obtain a form from County Clerk’s Office at 33 Mechanic Street, Freehold.

The Dissolution of Trade Name must be filled out and notarized in our office. Do not sign the form until you are in the County Clerk’s Recording Office.

  1. The following will be required:
  • Identification (driver’s license, passport, etc.);
  • $27.00 fee (cash or money order);
  • The file or instrument number from the original Trade Name Certificate.
  1. The County Clerk’s Office will keep the original, send a copy to the Secretary of State and return one to you.
